Corem publishes offer document regarding the public offer to the shareholders in Klövern

On 29 March 2021, Corem Property Group AB (publ) ("Corem") announced a public offer to the shareholders of Klövern AB (publ) (“Klövern") to acquire all outstanding ordinary shares of class A, ordinary shares of class B and preference shares in Klövern in exchange for newly issued shares in Corem, which was adjusted regarding the ordinary shares of class B in Klövern by way of press release on 19 April 2021 (the "Offer").

The offer document regarding the Offer has today been approved and registered by the Swedish Financial Supervisory Authority (“SFSA”). The offer document and acceptance form are available on Corem’s website (www.corem.se) and will be made available on Swedbank’s website (www.swedbank.se/prospekt). The offer document will also be made available on SFSA’s website (www.fi.se).

The acceptance period for the Offer begins on 14 May 2021 and ends on 11 June 2021. The outcome of the Offer will be announced by way of press release on 14 June 2021.

Payment of the consideration is expected to begin around 17 June 2021. Payment of the consideration will begin as soon as Corem has announced that the conditions for the Offer are satisfied or otherwise have decided to complete the Offer. Corem reserves the right to extend the acceptance period, and to postpone payment of the consideration. Notice of any such extension or postponement will be published by Corem by way of press release.

The Offer is conditional upon, among other things, Corem obtaining, with respect to the Offer and the acquisition of Klövern, all necessary regulatory, governmental or similar clearances, approvals and decisions, including approvals from the Swedish Competition Authority, in each case on terms which are acceptable. As previously communicated by Corem, the Swedish Competition announced its decision, on 28 April 2021, to clear the acquisition and merger without action. Corem hereby declares that the above-mentioned condition for the completion of the Offer is fulfilled.
